These Terms of Service ("Terms") govern your access to and use of the Presentr platform, including Presentr Live and Presentr Analyze (collectively, the "Services"), operated by Presentr ("we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Use of the Services

You may use the Services only as permitted by these Terms and applicable law. You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable regulations
  • Upload content that you do not have the right to use or that violates third-party rights
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or attempt to extract the source code of the Services
  • Resell, sublicense, or otherwise commercialize access to the Services without our written consent

2. Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@presentr.app if you believe your account has been compromised.

You must provide accurate and complete information when creating an account. Accounts may not be shared or transferred to another individual without our prior written consent.

3. Your content

You retain ownership of all content you upload to the Services ("Your Content"), including recordings, media files, and documents. By uploading content, you grant us a limited license to process, store, and transmit Your Content solely as necessary to provide the Services to you.

You represent and warrant that you have all rights necessary to upload Your Content and that Your Content does not violate any applicable law or third-party rights, including privacy rights of individuals who appear in recordings.

You are solely responsible for obtaining any required consents from participants before recording sessions or uploading recordings to the Services.

4. Intellectual property

The Services, including all software, design, text, and functionality, are owned by Presentr and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or other brand elements without our prior written consent.

Analysis outputs, transcripts, and reports generated by the Services from Your Content are provided to you as part of the Services. You may use these outputs for your internal business purposes.

5. Payment and billing

Certain features of the Services require a paid subscription. Fees are described in your order or subscription agreement. All fees are non-refundable except as required by law or as explicitly stated in your agreement.

We may update pricing with 30 days' notice. Continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.

6. Confidentiality

Each party may have access to confidential information of the other in connection with the Services. Each party agrees to protect the other's confidential information with at least the same degree of care it uses for its own confidential information, and not to disclose it to third parties without prior written consent, except as required by law.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

AI-generated analysis outputs, transcriptions, and summaries are provided for informational purposes and may contain errors. You are responsible for reviewing outputs before acting on them.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PRESENTR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Services immediately if you breach these Terms or if we reasonably believe continued access poses a risk to the Services or other users.

Upon termination, your right to use the Services ceases. You may request a copy of Your Content within 30 days of termination. After that period, we may delete Your Content in accordance with our data retention practices.

10. Governing law

These Terms are governed by applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration or, where arbitration is not permitted, to the courts of competent jurisdiction.

11. Changes to these Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email or via a prominent notice in the Services. Continued use after changes take effect constitutes acceptance of the revised Terms.
